TERMS OF SERVICE

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Blankspace Social, LLC, a Missouri limited liability company ("Creatorspace," "we," "us," or "our"), governing your access to and use of the Creatorspace platform, websites, applications, and related services (collectively, the "Platform").

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to all provisions, you must not access or use the Platform.

1. Platform Overview and Role

Creatorspace operates an online marketplace that enables brands ("Brands") to discover, engage, and transact with creators ("Creators") and talent agencies ("Agencies") for influencer marketing, sponsored content, creative services, and product gifting campaigns (collectively, the "Services").

Creatorspace provides technology infrastructure only. Creatorspace is not a party to any agreement between Brands, Creators, or Agencies, does not control or direct user conduct, and does not guarantee the quality, legality, safety, suitability, or outcome of any services, content, or products.

You expressly acknowledge and agree that any contractual relationship formed through the Platform exists solely between the applicable Brand and Creator or Agency.

2. Eligibility and Authority

You must be at least sixteen (16) years of age and legally capable of entering binding contracts. If you access or use the Platform on behalf of an entity, you represent and warrant that you have full authority to bind such entity to these Terms.

3. Accounts and Security

You agree to provide complete, accurate, and current information and to maintain the confidentiality of your account credentials. You are solely responsible for all activities conducted through your account.

Creatorspace may suspend, restrict, or terminate your account if we reasonably believe you have violated these Terms, misused the Platform, or engaged in fraudulent, deceptive, or abusive conduct.

4. User Categories

The Platform supports registration by Creators, Agencies, and Brands.

Agencies represent and warrant that they possess all necessary authority to act on behalf of their managed Creators and agree to indemnify and hold harmless Creatorspace from any claims arising out of creator actions or omissions.

5. Subscriptions, Fees, and Billing

Brands access certain Platform features through paid subscription plans billed monthly or annually and subject to automatic renewal unless canceled prior to the end of the then-current billing period. A fourteen (14) day free trial may be offered at Creatorspace's discretion.

Except as required by applicable law, subscription fees are non-refundable. Cancellation prevents future charges but does not entitle you to a refund for the current billing period.

Creatorspace reserves the right to modify pricing, subscription tiers, or features upon reasonable notice.

6. Payments, Disputes, and Chargebacks

Payments for on-Platform transactions are processed by Stripe or its affiliates. Creatorspace does not directly hold user funds.

In the event of a payment dispute, chargeback, or reversal initiated by a Brand, Creatorspace may temporarily withhold related Creator payouts while the matter is reviewed. Where permitted, third-party processing fees may be passed through.

Creatorspace reserves the right to recover amounts paid to Creators in cases of confirmed fraud, material non-performance, or violation of these Terms.

Large or custom projects ("Pitches") are negotiated and paid off-Platform, and Creatorspace expressly disclaims all responsibility for such arrangements.

7. Marketplace Disclaimer

Creatorspace does not employ Creators, does not supervise or control performance, and does not guarantee results. Creatorspace does not provide legal, tax, or business advice.

All representations, warranties, and obligations regarding services or deliverables are made solely between Brands and Creators or Agencies.

8. Creator Responsibilities

Creators represent and warrant that they own or otherwise control all rights necessary to provide their services and content, that their content does not infringe any third-party rights, and that they will comply with all applicable laws, including FTC endorsement and disclosure requirements.

Creators agree to use commercially reasonable efforts to fulfill accepted engagements. Repeated failure to deliver may result in suspension or termination.

Creators are independent contractors and not employees or agents of Creatorspace. Creators bear sole responsibility for all taxes arising from their earnings. Creatorspace may issue IRS Forms 1099 where legally required.

9. Brand Responsibilities

Brands agree to provide lawful products and services, communicate expectations clearly, remit agreed payments, and comply with applicable advertising regulations. Brands are solely responsible for substantiating advertising claims.

Creatorspace may restrict accounts or deny refunds in cases of verified bad-faith conduct.

10. Product Gifting

Creatorspace merely facilitates introductions for product gifting. Creatorspace does not manufacture, ship, inspect, or warrant products and disclaims all liability relating to gifted items.

11. Intellectual Property

Creators retain ownership of their original content. Unless otherwise agreed in writing between a Brand and Creator, Brands receive a limited, non-exclusive, non-transferable license to use sponsored content solely for the agreed campaign purposes.

Creators grant Creatorspace a worldwide, royalty-free, sublicensable license to host, reproduce, and display content as reasonably necessary to operate, maintain, and improve the Platform and conduct internal analytics.

Creatorspace may use anonymized transactional data for analytics and may display Brand names and logos as customers unless a Brand opts out in writing.

12. Prohibited Conduct

Users may not engage in unlawful activity, fraud, harassment, hate speech, pornography, scraping, unauthorized data extraction, AI training on Platform data, fee circumvention, or misuse of messaging systems.

Violations may result in suspension or termination.

13. Moderation and Enforcement

Creatorspace may remove content or restrict accounts upon a reasonable determination of violations or abuse. Where practicable, notice will be provided.

Platform records, including messages and timestamps, may be relied upon in resolving disputes.

14. Privacy and International Use

Use of the Platform is governed by our Privacy Policy. Creatorspace collects analytics, messaging metadata, and transaction information. User data is not sold.

International users are responsible for VAT/GST and local taxes. Access from sanctioned jurisdictions may be restricted.

15. Regulatory Responsibility

Each user is solely responsible for compliance with applicable laws and regulations. Creatorspace assumes no responsibility for regulatory violations by users.

16. Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, CREATORSPACE DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREATORSPACE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. CREATORSPACE'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO CREATORSPACE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

18. Indemnification

You agree to defend, indemnify, and hold harmless Creatorspace and its affiliates from any claims, damages, losses, liabilities, and expenses arising from your content, conduct, transactions, or breach of these Terms.

19. Termination

Creatorspace may suspend or terminate access for material violations of these Terms. Except where required by law, subscription fees are not refundable. Accrued rights and obligations survive termination.

20. Dispute Resolution

All disputes shall be resolved by binding arbitration administered by the American Arbitration Association in Missouri. Claims must be brought on an individual basis, and you waive any right to a jury trial.

Any claim must be filed within twelve (12) months of accrual. Each party bears its own legal fees unless otherwise awarded by the arbitrator.

21. Governing Law

These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-law principles.

22. Force Majeure

Creatorspace shall not be liable for delays or failures caused by events beyond reasonable control.

23. Assignment

You may not assign these Terms without prior written consent. Creatorspace may assign freely.

24. Platform Changes and Beta Features

Creatorspace may modify or discontinue Platform features at any time. Beta or experimental features are provided without warranties and may be withdrawn.

25. Survival

Sections relating to Intellectual Property, Dispute Resolution, Limitation of Liability, Indemnification, and Governing Law survive termination.

26. Injunctive Relief

Creatorspace may seek injunctive or equitable relief in court to prevent misuse of the Platform or infringement of intellectual property.

27. Entire Agreement and Electronic Consent

These Terms constitute the entire agreement between you and Creatorspace and supersede all prior agreements. You consent to electronic communications and contracts.

28. Successors

These Terms bind and benefit Creatorspace's successors and assigns.
